AWARDING RESOLUTION TO RAPIDSOS, INC. PO 924024 TO UPGRADE THE PORTAL TO THE PREMIUM VERSION FOR A TWELVE (12) MONTH TERM WITH OPTIONAL AUTOMATIC RENEWALS FOR FOUR (4) TWELVE-MONTH PERIODS
(INITIAL TERM: $81,507.12; TOTAL AMOUNT: $392,535.60)

WHEREAS, the DuPage County Emergency Telephone System Board ("DU PAGE ETSB") is an emergency telephone system board, established pursuant to Section 15.4 of the Local Government Emergency Telephone System Act, 50 ILCS 750/15.4 ("Act"); and
WHEREAS, the DU PAGE ETSB is authorized and empowered, pursuant to Section 15.4 (b) of the Act to plan, implement, upgrade, and maintain an Emergency 9-1-1 System for citizens of the County of DuPage and portions of Cook, Kane and Will counties; and
WHEREAS, the DU PAGE ETSB is authorized by law and local ordinance to make disbursements from the 9-1-1 surcharge funds it receives pursuant to law for costs related to products and services necessary for the implementation, upgrade and maintenance of the emergency telephone system; and
WHEREAS, an agreement has been negotiated in accordance with the DU PAGE ETSB by ordinance; and
WHEREAS, the 9-1-1 System Coordinator recommends DU PAGE ETS Board approval of Purchase Order 924024 to RapidSOS, Inc. to upgrade the current Portal to the Premium version for an initial twelve (12) month term with optional automatic renewals for four (4) twelve-month periods. Total amount for the initial term is $81,507.12, for a total contract amount of $392,535.60.
NOW, THEREFORE BE IT RESOLVED, that DU PAGE ETSB Requisition 924024, dated August 22, 2024, covering said, an upgrade to the Premium version, be, and it is hereby approved by the DU PAGE ETSB to RapidSOS, Inc., 3 Park Avenue, 22nd Floor, New York, NY 10016, for an amount of $392,535.60.
