MODIFICATION TO COMMUNITY DEVELOPMENT BLOCK GRANT (CDBG) PROGRAM AGREEMENT BETWEEN THE COUNTY OF DUPAGE AND ALMOST HOME KIDS PROJECT NUMBER CD21-08

WHEREAS, the Illinois General Assembly has granted COUNTY authority to make all contracts and do all other acts in relation to the property and concerns of the county necessary to the exercise of its corporate powers (Illinois Compiled Statutes, Chapter 55, paragraphs 5/5-1005), and to enter into agreements for the purposes of receiving funds from the United States government under the “Housing and Community Development Act of 1974”, and other subsequent housing acts, and may disburse those funds and other county funds for community development and other housing program activities (Illinois Compiled Statutes, Chapter 55, paragraph 5/5-1093); and
WHEREAS, COUNTY has been a participating jurisdiction in the United States Department of Housing and Urban Development’s (“HUD’s”) Housing and Community Development Program since 1975, and has applied for Community Development Block Grant Funds (“CDBG”) from HUD as provided by the Housing and Community Development Act of 1974, as amended (P.L. 93-383)(“ACT”); and
WHEREAS, on September 14, 2021, the COUNTY and ALMOST HOME KIDS, an Illinois not-for-profit corporation (“AHK”) entered into an Agreement for the purpose of providing Community Development Block Grant (CDBG) Program funding in the amount of $351,275.00 for Project CD21-08, pursuant to County Board Resolution HHS-R-0086-21, funding was secured by a Mortgage recorded against the property as document number R2021-173104, said mortgage was modified by a Mortgage Modification Agreement recorded as document number R2022-107424 to decrease the lien to $246,925.42; and
WHEREAS AHK has entered into a Merger Agreement with Ann & Robert H. Lurie Children’s Hospital of Chicago (Lurie Children’s), which outlines that all assets, properties, rights, privileges, immunities, and powers of AHK shall vest in Lurie Children’s and all restrictions, obligations, duties, debts and liabilities of AHK shall be the restrictions, obligations, duties, debts and liabilities or Lurie Children’s; and
WHEREAS, under the terms of the Merger Agreement, Lurie Children’s agrees to assume that portion of the AHK’s rights and obligations equal to the outstanding principal balance in the amount of TWO HUNDRED FORTY-SIX THOUSAND NINE HUNDRED TWENTY-FIVE AND 42/100 DOLLARS ($246,925.42) under the Community Development Block Grant Agreement, thereby becoming a SUBGRANTEE BY ASSUMPTION relative to the COUNTY; and
WHEREAS, in order to induce the COUNTY to approve Lurie Childen’s as the SUBGRANTEE BY ASSUMPTION, Lurie Children’s has agreed with the COUNTY to execute a Consent to Assumption Agreement and a Mortgage Assumption Agreement in the principal amount equal to the existing liens recorded against 7S721 Route 53, Naperville, IL 60540, both of which shall be in a form acceptable to the COUNTY; and
WHEREAS, the Community Development Executive Committee and the DuPage County Human Services Committee have approved the recommendation to modify the above referenced agreements, transferring said agreements and corresponding liens from AHK to Lurie Children’s.
NOW THEREFORE BE IT RESOLVED by the County Board that said Agreement Modifications between DuPage County and ALMOST HOME KIDS (“SUBGRANTEE”) and ANN & ROBERT H. LURIE CHILDREN’S HOSPITAL OF CHICAGO (“SUBGRANTEE BY ASSUMPTION”) hereby incorporated by reference, are hereby approved; and
BE IT FURTHER RESOLVED, that the Chair of the DuPage County Board is authorized and directed to execute the Agreement Modifications and the Consent to Assumption Agreement on behalf of DuPage County and the Clerk is hereby authorized and directed to attest to such execution and affix the official seal thereto; and
BE IT FURTHER RESOLVED, that the Chair of the DuPage County Board, or their designee, is authorized and directed to execute additional documents that may be required to complete the transaction on behalf of DuPage County; and
BE IT FURTHER RESOLVED, that the Director of Community Services, is authorized and directed to execute additional documents that may be required to complete the transaction on behalf of DuPage County; and
BE IT FURTHER RESOLVED, that the Chair of the DuPage County Board is hereby authorized to approve amendments to project CD21-08 so long as such amendments further the completion of the project and are in accordance with regulations applicable to the Community Development Block Grant Program and are in accordance with the policies of DuPage County and the DuPage Community Development Commission; and
BE IT FURTHER RESOLVED that the County Clerk be directed to send copies of this Resolution to David Kruger, RN, DNP, President & Executive Director, Almost Home Kids, 225 E. Chicago Ave, Chicago, IL 60601, and Thomas P. Shanley, MD, Ann & Robert H. Lurie Children’s Hospital of Chicago, 225 E. Chicago Ave, Chicago, IL 60601, and the DuPage Community Devel-op-ment Commission.
